GCS is led by Joseph S. Moran, Esq., a corporate lawyer with over 25 years of experience advising public and private companies on a broad range of legal, business and regulatory issues.  Mr. Moran has served as vice-president, general counsel and secretary at both New York Stock Exchange and Nasdaq Exchange corporations and as a senior legal officer to a Fortune 500 global manufacturer and an EU-based world-wide industry leader.  He is well-versed in SEC and corporate governance issues and has advised boards of directors, as well as individual directors on their obligations as board members and as members of governance, audit and compensation committees. Mr. Moran is recognized nationally as an expert on corporate governance issues, and has served as the co-chair of the American Bar Association’s Sub-Committee on Corporate Governance.          

Mr. Moran has extensive experience planning, structuring, negotiating and documenting mergers, acquisitions, dispositions and other transactions related to the strategic growth of the client company.  Having worked with company executives as part of the senior management team, Mr. Moran can provide not only advice and counsel on legal and compliance issues, but can also assist on strategic business planning and implementation.  

Because it is a part of Trinity Law Group, General Counsel Service is able to draw on the broad expertise of Trinity’s members in the practice of corporate and business law and readily deal with most legal matters that are likely to arise in the course of conducting a business.  Each of the attorneys has substantial experience advising public and private corporations on a broad range of legal, business and regulatory issues.
